Terms and Conditions

These Terms and Conditions govern the use of the price comparison and coupon portal operated under the domain www.shopilo.co.nz and its associated subdomains (the “Service”). By accessing and using the Service, users (“you”) accept these Terms in their current version. Where separate terms apply to particular features or parts of the Service, those terms apply in addition or — in case of conflict — in place of the provisions below. Nothing in these Terms limits any rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 (see section 6).

2. Description of the Service
2.1 Nature of the Service
Shopilo.co.nz is an editorially operated price comparison and coupon portal. The Service enables users to compare offers from various online merchants, view current coupon codes and discount promotions, and be redirected directly to the relevant merchants via external links.
DontPayFull SRL is not a retailer and is not a contracting party to the purchase of goods or services. The Service is provided solely for information and referral purposes; purchase contracts are formed exclusively between you and the relevant merchant.
2.2 Editorial quality assurance and accuracy of offers
All offers, coupon codes and price information published on shopilo.co.nz are checked by our editorial team, and we take reasonable steps to ensure that every stated discount, price comparison or “verified” label has a reasonable basis at the time it is published — consistent with our obligations under the Fair Trading Act 1986 (including section 12A on unsubstantiated representations). Nevertheless, because market prices and merchant promotions change constantly, we cannot guarantee that the information displayed is current, complete or accurate in every individual case at the moment you view it. Prices, availability and conditions are solely the responsibility of the relevant merchants and may change at any time after publication. The information on the merchant’s website at the time you complete your purchase always prevails.
2.3 Offer ranking
Ranking criteria: so that the way we order offers does not create a misleading impression (Fair Trading Act 1986, s 9), we disclose that offers are ranked primarily by: recency and validity (working offers are shown first), discount size, editorial relevance and value to the user. The size of the affiliate commission a merchant pays is not a ranking criterion.
2.4 Free of charge for users
Use of the Service by consumers is free of charge. No registration or provision of personal information is required for basic use. DontPayFull SRL finances the Service through affiliate commissions from participating merchants (see section 3).
2.5 Availability
DontPayFull SRL aims to keep the Service as available as possible but does not guarantee uninterrupted access. Maintenance work, technical faults or circumstances outside our control may cause temporary interruptions. There is no entitlement to any particular level of availability.
These Terms apply equally to the Shopilo mobile app for iOS and Android, which provides access to the same Service. The app is distributed through the Apple App Store and Google Play; the terms of those platforms apply in addition to these Terms with respect to download and installation. Certain app features (account, followed stores, push notifications) require an account and, for push notifications, your authorisation via the operating system, which you can withdraw at any time in your device settings. You can delete your account at any time from the app’s profile screen; deletion takes effect after a 30-day grace period during which you may cancel it. Nothing in this section limits any rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 (see section 6).
3. Affiliate marketing and advertising disclosure
3.1 Disclosure of our commercial interest
Advertising disclosure: Shopilo.co.nz is an affiliate-financed comparison portal. When you shop via our links, we may receive a commission from the relevant merchant. This affects neither the prices you pay at the merchant nor our editorial independence. We disclose this commercial relationship so that the overall impression created by the Service is not misleading (Fair Trading Act 1986, s 9), and so that our commercial content is identifiable as such, in line with Principle 2 (Identification) of the Advertising Standards Authority’s Advertising Standards Code. The selection and presentation of offers is based exclusively on quality criteria such as price advantage, merchant rating and relevance to our users.
3.2 How affiliate remuneration works
DontPayFull SRL participates in affiliate partner programmes of various merchants and affiliate networks. If a user clicks a merchant link and subsequently makes a purchase, DontPayFull SRL may receive performance-based remuneration (a commission). This commission is paid by the merchant or affiliate network; no additional cost of any kind arises for the user.
3.3 Cookies in the affiliate context
As part of affiliate tracking, merchants and affiliate networks may set technical cookies or similar technologies on their own domains to attribute transactions. Shopilo.co.nz itself sets no tracking cookies of its own for affiliate purposes. Information about the cookies used on shopilo.co.nz can be found in our Cookie Policy.
3.4 Editorial independence
Participation in affiliate programmes has no influence on the editorial assessment, ordering or selection of the offers presented on shopilo.co.nz. Affiliate links through which a commission may be earned are identifiable as such or are transparently disclosed in this statement.
4. Permitted use and restrictions
4.1 Licence granted
DontPayFull SRL grants you a non-exclusive, non-transferable and revocable licence to use the Service for personal, non-commercial purposes. This licence covers accessing and viewing the content published on shopilo.co.nz and following redirect links to third-party merchants.
You must be at least 18 years old to create an account on the Service. By registering an account you confirm that you are 18 or over. Browsing the Service without an account is open to everyone, but the Service is not directed at children.
4.2 Prohibited uses
Without the prior written consent of DontPayFull SRL, you must not:
- query, index or “scrape” the Service or parts of it in an automated way (automated extraction of content), by whatever technical means;
- systematically reproduce, store, distribute or make publicly available content of the Service, in particular to build competing offerings;
- use the Service or its content for commercial purposes without the express written permission of DontPayFull SRL;
- circumvent, disable or otherwise interfere with technical protection measures of the Service;
- interfere with, overload or damage the infrastructure of the Service (e.g. through denial-of-service attacks, injecting malicious code or similar actions);
- use frames or other embedding techniques to incorporate the Service or parts of it into third-party websites without express permission;
- spread false or misleading information about the Service or DontPayFull SRL.
4.3 Consequences of breaches
DontPayFull SRL reserves the right, in the event of breaches of these restrictions, to block access to the Service, to pursue civil claims for damages, and to inform the competent authorities where conduct of criminal relevance is involved.
The licence granted above also covers the installation and use of the Shopilo mobile app on devices you own or control, for personal, non-commercial purposes, in accordance with the usage rules of the Apple App Store or Google Play from which you obtained it. You must not decompile, reverse-engineer, modify or redistribute the app, or circumvent its security mechanisms (including device and app-integrity checks).
5. Intellectual property and trade marks
5.1 Content of DontPayFull SRL
All content of the Service — in particular texts, graphics, logos (to the extent attributable to DontPayFull SRL), the database structure, the layout and the source code of the website — is protected by copyright and is owned by DontPayFull SRL or used by DontPayFull SRL with the permission of the respective rights holders. All rights are reserved.
Reproduction, adaptation, distribution or public communication of this content — including in extracts — is not permitted without the prior written consent of DontPayFull SRL, to the extent it goes beyond the scope of use granted in section 4.1.
5.2 Third-party rights — in particular merchant logos and trade marks
Logos, trade marks, signs and other proprietary rights of third parties — in particular of the merchants presented on shopilo.co.nz — are the property of their respective owners. Such signs are displayed on shopilo.co.nz solely for information and identification purposes in the context of affiliate marketing and merchant presentation; DontPayFull SRL derives no ownership or licence rights in these signs from their display. All trade mark and copyright interests remain with their respective owners.
5.3 Reporting infringements
If you believe that content on shopilo.co.nz infringes your rights, please contact us promptly at [email protected]. We will investigate such reports without delay.
6. Consumer guarantees and limitation of liability
6.1 Your consumer rights are not excluded
Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986, or any other statutory protection that cannot lawfully be excluded. Section 43 of the Consumer Guarantees Act prohibits contracting out of that Act against consumers, and every limitation in this section 6 applies only to the extent permitted by law and subject to those Acts. If you use the Service in trade or for the purposes of a business, you agree that the guarantees in the Consumer Guarantees Act 1993 do not apply, to the extent that section 43(2) of that Act permits us to agree this with you.
6.2 Liability for the content of the Service
Subject to section 6.1, DontPayFull SRL is not liable for the accuracy, completeness, currency or availability of the price and offer information published on shopilo.co.nz. It is compiled with reasonable care and to the best of our knowledge; however, the information on the relevant merchant’s website always prevails. In particular, DontPayFull SRL does not warrant that a displayed coupon code will still be valid at the time you use it, or that a merchant will honour the displayed price at that time.
6.3 Liability for external links
The Service contains links to third-party websites, which are provided for your convenience. Those websites and their content are the responsibility of their respective operators; DontPayFull SRL has no control over them and does not endorse them. If we become aware that a linked page contains unlawful content, we will remove the link promptly.
6.4 General limitation of liability
Subject to section 6.1, and to the maximum extent permitted by law, DontPayFull SRL is not liable for indirect or consequential loss, loss of profit, or loss of data arising out of the use of, or inability to use, the free Service. Nothing in this section limits liability for death or personal injury, for fraud, or for any other liability that cannot lawfully be limited.
6.5 Purchases from merchants
DontPayFull SRL is not a party to purchase contracts between users and merchants and accepts no liability for the performance of such contracts, for defects in delivered goods or services, for the conduct of merchants, or for loss arising in connection with shopping at a linked merchant. Complaints and guarantee claims relating to a purchase must be addressed to the relevant merchant, who is responsible for them — including under the Consumer Guarantees Act where it applies to that merchant.
7. Privacy and cookies
The collection and handling of personal information in connection with the use of the Service is governed by our Privacy Policy. Information about the use of cookies and similar technologies, and how to manage your preferences, can be found in our Cookie Policy. Both documents form part of these Terms.
The agency responsible for personal information under the Privacy Act 2020 is DontPayFull SRL, Bucharest, Romania. Privacy complaints that we cannot resolve directly can be made to the Office of the Privacy Commissioner | Te Mana Mātāpono Matatapu (www.privacy.org.nz), and, if still unresolved, to the Human Rights Review Tribunal.
8. Governing law and jurisdiction
8.1 Governing law
These Terms and all legal relationships between DontPayFull SRL and users of the Service are governed by Romanian law.
This choice of law does not deprive New Zealand consumers of the protection of New Zealand statutes that apply regardless of the parties’ choice of law — in particular the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, which (under section 3) extends to conduct outside New Zealand by persons resident or carrying on business in New Zealand, to the extent the conduct relates to the supply of goods or services within New Zealand. Those protections apply in priority to anything to the contrary in these Terms.
8.2 Jurisdiction
For disputes arising out of or in connection with these Terms, the courts of Bucharest (Romania) have jurisdiction, to the extent permitted by law.
This does not prevent New Zealand consumers from bringing proceedings before the courts or tribunals that New Zealand law makes available to them — including, for claims of up to NZD 30,000, the Disputes Tribunal (see section 9). Nothing in this clause restricts your right to choose a forum that is more favourable to you where the law gives you that right.
9. Complaints and dispute resolution
9.1 Talk to us first
If you have a complaint about the Service, please contact us first at [email protected]. We take complaints seriously and aim to resolve them directly and promptly — most issues can be sorted this way.
9.2 New Zealand bodies you can turn to
New Zealand law does not require us to belong to a dispute resolution scheme for this type of service. For your information, the following bodies are available to New Zealand consumers:
- Commerce Commission (comcom.govt.nz) — receives reports of conduct that may breach the Fair Trading Act 1986. It enforces the Act in the public interest but does not resolve individual disputes.
- Consumer Protection (Ministry of Business, Innovation and Employment) (consumerprotection.govt.nz) — free government guidance on your consumer rights and options.
- Disputes Tribunal (disputestribunal.govt.nz) — hears claims of up to NZD 30,000 in an informal setting, without lawyers.
- Advertising Standards Authority (asa.co.nz) — handles complaints about advertising, including affiliate and commercial content.
10. Changes to these Terms
10.1 Right to amend
DontPayFull SRL reserves the right to amend or supplement these Terms where there is good reason — in particular changes in the law, new technical features of the Service, changed market conditions or decisions of regulators. Amendments will be published on this page; the date of the last update at the top of the page will be adjusted accordingly.
10.2 Notice of material changes
Material changes to these Terms — in particular changes that significantly affect users’ rights — will, where possible, be announced at least 14 days before they take effect, for example through a prominent notice on the Service’s homepage or a notification on your next use of the Service.
10.3 If you do not agree
If you do not wish to accept a material change, you may object to the amended Terms and stop using the Service. Use of the Service after amended Terms take effect is not treated as implied acceptance of the changes; no deemed-acceptance mechanism forms part of these Terms.
11. Severability
If any provision of these Terms is or becomes wholly or partly invalid or unenforceable, the validity of the remaining provisions is not affected. The invalid or unenforceable provision is replaced by the valid and enforceable provision that comes closest to the commercial purpose of the original. The same applies to any gaps in these Terms.
